Complaint against the manager
From the court documents it is known that on November 11, 2024, Renta-Service-Plus LLC appealed to the Arbitration Court of the Tula region with a complaint. The company asked to recognize illegal several actions of the manager.
In particular, the company considered it illegal to involve a number of employees (including technical director Alexander Volkov, head of the security department Ivan Zagamulo, controller Vladimir Bondarenko and others) and pay them salaries totaling more than 4 million rubles.
In addition, LLC "Renta-Service-Plus" demanded to recognize as illegal the conclusion of lease agreements with the companies "August" and "Autumn", as well as the failure to file an application for the involvement of former managers of the debtor (in particular, Vladimir Oleynikov) to subsidiary liability in accordance with the bankruptcy legislation. On the basis of all this, the creditor demanded to remove Ivan Pulyaevsky from the duties of the bankruptcy manager.
In February 2025, the applicant clarified the requirements, expanding the list of employees whose employment was contested to 10. The court accepted some of the clarifications, but refused to consider later changes, since they changed both the subject matter and the basis of the claims.
Court rejects creditor
The Arbitration Court of the Tula region analyzed each episode of the complaint in detail and found no signs of illegality, bad faith or unreasonableness in the manager’s actions.
During the court session, it turned out that he noted that since the opening of competitive proceedings, the company retained a staff of employees. This is necessary for the protection of property, accounting and tax accounting, repair of networks, office work and transfer of archival documents to the state archive. Currently, about 20 people are involved in the duties. Staffing schedules, including security-related positions, were approved by creditor meetings (protocols 2023 and 2024). The offer to hire an external security organization was rejected by creditors, including the complainant himself, in 2022.
In addition, the court detailed the roles of key employees. Technical Director Alexander Volkov monitors the condition of buildings, machines and engineering systems, organizes repairs, interacts with resource suppliers and tenants. The head of the security department, Ivan Zagamulo, and the controllers ensure throughput, accounting of material values and preventing unauthorized access. The court stressed that in 2023, the security forces of tenants worked with serious violations, and the number of persons entering the territory increased significantly. The introduction of its own guard has helped to rectify the situation.
In 2024, the manager initiated the introduction of additional units (welder, locksmith, electrician, handyman) due to the dilapidated state of the buildings and the need for constant ongoing repairs. The court agreed that this reduces the risk of accidents and loss of property.
Contracts with August LLC and Autumn LLC brought more than 3.6 million rubles in rental payments to the tender mass. The court qualified them as profitable transactions, beneficial for the debtor and creditors.
The court also refused to bring Vladimir Oleynikov to subsidiary liability. Vladimir Oleynikov was appointed General Director after the initiation of bankruptcy proceedings (in August 2017). Therefore, there were no legal grounds for bringing him to justice on this ground. The claimant also failed to provide evidence of the withdrawal of assets or other actions that could have led to an application. Whether this decision will be appealed, we will soon find out.
Scandalous manager
Recall, as previously wrote “MK in Tula”, this is not the first scandal with the competitive manager of JSC “TNITI”. In relation to the former competitive manager of the company Yuri Kalitin at one time even opened a criminal case. The criminal case was initiated on the circumstances of the conclusion of the lease agreement No. 1 November 2018, this agreement was concluded between JSC TNITI and the company Renta Invest. The approximate amount of damage, according to the new bankruptcy manager Ivan Pulyaevsky, was more than 200 million rubles, which required a revaluation of the property.
In addition, during the bankruptcy of OJSC TNITI, the same bankruptcy manager Yuri Kutlin in 2020 at the auction tried to sell the company LLC Line for 160 million rubles a large property complex consisting of 34 non-residential premises and structures at the address: Tula, Boldin St., 98, 34 non-residential buildings, premises and structures - Tula, Lenin Avenue, 161. In December 2020, a contract for the sale of all this property was drawn up, but the transaction was later challenged and canceled on the complaint of JSC NPK Techmash and other creditors.
