Facts of manipulation of the securities market by a group of affiliated organizations and their owners have been established
The Bank of Russia has established facts of manipulation at the auction of PJSC Moscow Exchange (hereinafter referred to as the Exchange) in transactions between a group of affiliated legal entities and individuals with bonds of Russian companies.
So, LLC Factory "SILach" (INN 7451246377), LLC "OKTAD" (INN 7451434589), LLC "CITERRA" (INN 7422035068) and Koromyslov Dmitry Vasilyevich with Komin Evgeny Gennadyevich, who own a total of 100% stake in their authorized capital, in 2025 made transactions under a preliminary agreement in the main trading regime of the Exchange with bonds of PJSC "Sibur Holding" and PJSC "Rostelecom" (hereinafter - bonds). This led to significant deviations in the price and volume of bonds trading from the level that would have formed without such transactions.
At the same time, Koromyslov D.V. applied for transactions both on his own brokerage account and on brokerage accounts of CITERRA LLC and Octad LLC, and Komin E.G. - on the brokerage account of SILach Plant LLC.
These actions relate to the manipulation of the market in accordance with paragraph 2 of part 1 of article 5 of the Federal law of 27.07.2010 No. 224-FZ "On combating the illegal use of insider information and market manipulation and on amendments to certain legislative acts of the Russian Federation".
Organizations on behalf of and at the expense of which such transactions are made are liable as legal entities that have not taken all measures to comply with the prohibition of market manipulation.
Therefore, the owners of organizations that make transactions on their brokerage accounts should act in the interests of legal entities in good faith, reasonably and avoid situations in which their personal interests may conflict with the interests of companies.
OOO Factory "SILach", OOO "Octad", OOO "SITERRA", Koromyslov D.V. and Komin E.G. were brought to administrative responsibility for market manipulation, they were sent instructions to prevent similar violations in the future.
The Bank of Russia also sent instructions to trade organizers and professional securities market participants to suspend transactions on trading accounts of these legal entities and individuals.
The regulator draws the attention of bidders and their clients, including affiliates, to the inadmissibility of participating in concerted actions aimed at distorting fair pricing at organized bidding, and making transactions by prior agreement in anonymous bidding.
