From the plot of the case it follows that Andrei Zotov, Elena Zotova and Yuri Shapovalov filed a lawsuit in the Arbitration Court against LLC “UK TZPA” and LLC “TZPA”. In it, they demanded to invalidate the settlement agreement approved by the decision of the Arbitration Court of the Tula region of October 29, 2021 in the case between LLC “UK TZPA” and LLC “TZPA” and the transaction on the transfer of property from LLC “TZPA” to LLC “UK TZPA”. The plaintiffs demand to apply the consequences of the invalidity of the transaction in the form of the termination of the ownership of TZPA LLC on the property complex and the obligation of UK TZPA LLC to return the specified property complex to the ownership of TZPA LLC.

From the documents of the Arbitration Court of the Tula region, you can learn that this process concerns the bankruptcy of TZPA LLC, which took place in 2020-2021. The main creditor there was first the bank “Aresbank”, then its successor in the face of LLC “UK TZPA”, the amount of debt exceeded 212 million rubles. In October 2021, the court approved the settlement agreement between the parties - the bankruptcy case was terminated, and the creditor received part of the debt (about 45.4 million rubles) by transferring the pledged property of the plant to him. It was about more than 20 buildings and a large land plot of 6 hectares at the address: Tula, pos. Khomyakovo, st. Khomyakovskaya, 26. The total area of this property was 73.8 thousand square meters. This property was the subject of collateral for loan obligations, guarantors for which were Andrei Zotov, Elena Zotova and Yuri Shapovalov.

Missed deadline

Subsequently, in April 2025, Andrey Zotov, who acted as a guarantor for loan obligations, filed an application to the court in which he asked to cancel the decision of the Arbitration Court due to newly discovered circumstances. Kommersant claimed that the settlement agreement actually affected his rights: the creditor of LLC "UK TZPA" transferred the collateral property of the plant worth 45.4 million rubles in the account of partial repayment of the debt. According to the applicant, the market price of the complex is much higher, and he was not involved in the case and could not object to the valuation.

The objections were more than justified, since the market value of such property should be much higher. And this is such an exclusive offer in the market that it is difficult to estimate its real value. The editors of MK in Tula decided to entrust this to artificial intelligence, which showed the amount from 300 to 500 million rubles.

Even AI is obvious that 43 million rubles is too little for such a vast infrastructure. For comparison: this is an area with buildings comparable in size (if we take into account 73 thousand square meters. meters) with 10 football fields. By the way, for 43 million in Tula, you can now buy an apartment for 150 square meters. meters with “repaired” repairs.

The court, having considered the circumstances of the case, indicated that the application was filed with a significant delay. The three-month period for review and even the six-month limit, which is not subject to restoration, expired in 2022. Zotov, according to the court, learned about the settlement agreement and its terms no later than August 2023 - as part of his own bankruptcy case. The court did not find any good reasons for missing the deadline.

Claims of violation of the guarantor’s rights were also rejected by the court. The legislation does not oblige to involve the guarantor in the bankruptcy case of the main debtor. The settlement agreement was not contested and entered into legal force.

All of Andrey Zotov’s requests for the restoration of the term, the involvement of third parties and the request for documents were left without satisfaction or without consideration. Proceedings on the application are terminated. Now Andrei Zotov, as can be seen from his statement, is trying to challenge the very fact of the settlement agreement of 2021.

Most recently, Andrey Zotov filed a lawsuit in the Arbitration Court of the Tula region against Panchenko Tatyana Vasilievna, Avilov Evgeny Vasilyevich, Avilova Nina Mikhailovna, Panchenko Maria Igorevna.

Before that, Gleb Zotov and Anna Shapovalova back filed a lawsuit against LLC “UK TZPA”, Evgeny Avilov, Maria Panchenko, as well as LLC Commercial Bank “Aresbank”. In their statement of claim, the plaintiffs demanded to recognize a number of interrelated transactions as invalid and apply the consequences of the invalidity of transactions.
